Vendor Registration

By checking the acknowledgment box and submitting this registration, you (“Vendor”) agree to be legally bound by the following Vendor Registration Terms and Conditions (“Terms”) with Veteran Owned Wholesale (“VOW,” “we,” or “us”):

1. 1. 1. Representations and Warranties
         Vendor represents and warrants that: (a) it is a bona fide veteran-owned business and remains so throughout its participation on the platform; (b) all information provided is true, accurate, current, and complete; and (c) Vendor has full authority to enter into these Terms. Vendor agrees to promptly update information if it becomes inaccurate and to provide verification upon request.

      2. Approval; Platform Discretion
         Submission of an application does not guarantee acceptance. VOW reserves the right, in its sole discretion, to approve, deny, suspend, limit, or terminate Vendor access or listings at any time, with or without notice, including for misrepresentation, noncompliance, performance issues, policy violations, or actual or potential legal, financial, or reputational risk.

      3. Compliance and Responsibility
         Vendor agrees to comply with all applicable federal, state, and local laws and regulations, including those related to product safety, labeling, licensing, intellectual property, taxation, advertising, and consumer protection. Vendor is solely responsible for its products and services, including quality, accuracy, pricing, fulfillment, warranties, and customer support.

      4. Intellectual Property License
         Vendor retains all right, title, and interest in its intellectual property. Vendor grants VOW a non-exclusive, royalty-free, revocable license to use Vendor’s name, logos, trademarks, product images, and marketing materials solely to operate, market, and promote the platform and Vendor’s offerings.

      5. Indemnification
         Vendor agrees to indemnify, defend, and hold harmless VOW and its owners, officers, employees, and affiliates from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Vendor’s products or services; (b) breach of these Terms; (c) violation of law; or (d) infringement or alleged infringement of third-party rights.

      6. Limitation of Liability
         To the fullest extent permitted by law, VOW shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to Vendor’s participation on the platform. VOW’s total aggregate liability shall not exceed the amounts paid to Vendor through the platform, if any, during the six (6) months preceding the event giving rise to the claim.

      7. Modifications
         VOW may modify these Terms at any time. Continued use of the platform after changes constitutes acceptance of the revised Terms.

      8. Governing Law
         These Terms are governed by the laws of the state in which VOW is organized, without regard to conflict-of-law principles.
